　　为新墨西哥州和得克萨斯州提供电力服务的 TXNM 能源公司（TXNM）周一股价创下历史新高，此前该公司同意被黑石集团（BX）基础设施部门以 115 亿美元现金和债务收购。

　　根据交易协议，黑石基础设施部门将向 TXNM 投资者支付每股 61.25 美元，较上周五收盘价溢价近 16%。为支持 TXNM 的发展，黑石基础设施部门将通过私募协议以每股 50 美元的价格出资 4 亿美元收购 800 万股 TXNM 新发行的普通股，TXNM 将在交易完成前（预计 2026 年下半年）匹配这一金额。

　　黑石基础设施全球负责人肖恩・克利姆扎克（Sean Klimczak）表示，公司进行长期投资，“我们期待有机会就如何在两个州开展双赢、以增长为导向的投资进行有意义的对话”。

　　作为收购的一部分，TXNM 执行主席帕特・科劳恩（Pat Collawn）将卸任，现任董事长兼首席执行官唐・塔里（Don Tarry）将担任总裁兼首席执行官，负责运营。

　　TXNM 能源股价周一大涨 7%，开盘约一小时后达到 56.60 美元，此前曾创下 57.29 美元的历史新高。黑石股价则下跌 1%。
