智通财经APP讯，中国神华(01088)公布，于2025年5月23日，董事会审议通过《关于收购朔黄铁路、准能公司及包神铁路所持财务公司股权项目的议案》。
中国神华以自有资金通过非公开协议转让方式收购控股子公司国能朔黄铁路发展有限责任公司(“朔黄铁路”)、神华准格尔能源有限责任公司(“准能公司”)及国能包神铁路有限责任公司(“包神铁路”)合计持有的国家能源集团财务有限公司(“财务公司”)7.43%股权(对应注册资本合计1,300,071,428.57元)，交易价格合计为2,929,491,237.35元(其中，对朔黄铁路的交易价格为1,126,987,398.71元，对准能公司的交易价格为1,126,987,398.71元，对包神铁路的交易价格为675,516,439.94元)。本次收购后，财务公司股权结构变更为国家能源投资集团有限责任公司持股60%，中国神华持股40%。
公告称，本次收购有利于提高中国神华归属于公司股东的净利润。按照财务公司2024年净利润35亿元及本次收购后中国神华持股比例40%预计，中国神华年度合并财务报表中归属于公司股东的净利润将增加0.97亿元。
