智通财经APP获悉，法国制药巨头赛诺菲(SNY.US)宣布，将以4.7亿美元现金收购临床阶段生物技术公司Vigil Neuroscience(VIGL.US)，若后续研发里程碑达成，收购总价可能升至6亿美元。受该消息刺激，Vigil股价在美股周四盘前交易时段暴涨241%，而赛诺菲股价保持平稳。
根据交易条款，赛诺菲将以每股8美元的现金预付对价完成收购，较Vigil周三收盘价溢价236%。协议还设定额外里程碑条款：若Vigil核心在研产品——阿尔茨海默病治疗药物VG-3927在规定期限内实现首次商业化销售，其股东将获得每股2美元的追加现金支付。
此次收购聚焦神经病学领域，这是赛诺菲四大核心战略疾病方向之一。赛诺菲方面表示，通过整合Vigil的阿尔茨海默病研发管线，将强化公司在神经退行性疾病领域的早期研发布局。目前VG-3927正处于二期临床研究阶段，赛诺菲计划加速推进该候选药物的临床开发进程。
值得关注的是，此次收购并非赛诺菲首次布局Vigil。公开资料显示，赛诺菲曾于2024年6月向Vigil注入4000万美元战略投资，此次全资收购可视为其神经领域战略的延续。
在全球老龄化趋势下，阿尔茨海默病等神经退行性疾病治疗领域存在巨大未满足医疗需求，赛诺菲正通过"自主研发+精准并购"双轮驱动，构建差异化的中枢神经系统药物管线。
