智通财经APP讯，中国宏桥(01378)发布公告，有关宏创控股拟向宏拓实业现有股东(包括魏桥铝电)发行新股以购买其持有的目标股份，其中包括魏桥铝电与宏创控股于2024年12月20日签署的《发行股份购买资产意向协议》以及宏创控股的董事会于2025年1月6日决议通过的本次交易的预案。于2025年5月22日，宏创控股与宏拓实业现有股东(包括魏桥铝电)就本次交易签订补充协议，根据交易文件，卖方(魏桥铝电、嘉汇投资、东方资管、中信金融资产、聚信天昂、宁波信铝、济南宏泰、君岳投资和天铖锌铖)同意向宏创控股转让其合计持有的宏拓实业100%股权。
本次交易完成后，本公司在宏创控股的间接持股比例将由约22.98%增加至约88.99%，而本公司在宏拓实业的间接持股比例将由约95.295%下降至约88.99%。宏创控股及宏拓实业(透过宏创控股)将继续作为本集团的附属公司。
本次交易有利于提升本集团的资产证券化水平和市场影响力，实现资产整合以提升管理效率和业绩表现，促进本集团的长远发展。同时，本次交易有助于(包括但不限于)提升宏创控股资产质量，显著改善其财务状况及盈利能力;也有助于把宏创控股打造为铝行业的龙头上市公司，提升整体价值，实现股东利益最大化。
