近日，美图公司（1357.HK）发布公告，宣布与阿里巴巴签署2.5亿美元可转债协议。同时，双方还将在电商平台、AI技术、云计算等领域展开战略合作。

公告显示，阿里巴巴以可转债的形式投资美图，本金总额为2.5亿美元（净筹资约2.496亿美元），为期3年，年利率为1%。阿里巴巴可在发行日起至到期日前5个工作日行使转换权，按每股6.00港元的价格转换为美图公司股票。

根据公告，美图公司和阿里巴巴将在电商和模型开发领域展开深入合作。阿里巴巴将在旗下的电商平台优先推广美图AI电商工具，同时协助美图开发以数据驱动的电商生图及生视频的新工具及新功能，以提高阿里巴巴电商平台商家的营销和运营效率。

阿里巴巴将为美图公司核心业务提供技术支持，满足美图公司旗下AI产品推理、训练等算力需求。美图公司承诺在未来三年向战略投资者阿里巴巴采购不低于5.6亿元的云服务。

此外，双方还将探索更多差异化创新项目，为各自平台用户创造独特体验。目前，双方已签署投资协议，最终交割需满足相关政府审批及其他先决条件。（吴鑫钊）
