熙康云医院(09686.HK) 公布关连交易，旗下全资附属熙康健康科技，向东软睿新(09616.HK) 出售之目标公司大连熙康云舍康旅投资管理注册资本3,275.74万元人民币(下同)。
此外，东软睿新及大连熙康云舍康旅投资管理订立增资协议，据此，大连熙康云舍康旅投资管理之注册资本将增加4,913.6万元。
熙康云医院预期，将于其截至今年12月底止年度的综合损益表中录得来自本次股权转让及增资安排的净收益(经扣除相关税项及开支后)约300万至600万元，拟用作主营业务发展及一般营运资金。
公司董事长兼非执行董事刘积仁被视为于东软睿新63.23%的股本权益中拥有权益。
公司认为，本次股权转让事项以及增资安排有助于公司更好地聚焦主营业务，优化其资本结构、增强资本实力，并为后续发展提供资金支持。此外，本次股权转让以及增资安排为目标公司引入新投资者东软睿新，亦有利于提升目标公司的资本实力，助力其提高核心竞争力和综合实力。本次股权转让以及增资事安排不会导致公司的合并报表范围发生变更，不会对公司的业务发展和盈利水平产生不利影响。(hc/j)(港股报价延迟最少十五分钟。)
