智通财经APP讯，满贯集团(03390)发布公告，认购协议所载条件已获达成，根据认购协议的条款及条件，完成于2025年5月22日落实及公司已按发行价每股认购股份0.5港元向认购人配发及发行合共9400股认购股份。
于认购事项完成后及于本公告日期，认购人(雅各臣科研制药的间接全资附属公司)已成为公司的主要股东，因此为公司的关连人士。由于岑广业先生为雅各臣科研制药的控股股东之一，岑先生亦成为公司的主要股东，因此为公司的关连人士。
于认购事项完成前，集团及健倍苗苗集团已订立多项持续交易，该等持续交易将于认购事项完成后继续进行。于认购事项完成后，认购人于本公告日期于公司已发行股本总额约16.84%中拥有权益。因此，根据上市规则第14A章，认购人、岑先生及其联系人被视为公司的关连人士，该等协议及其项下拟进行的交易构成公司的持续关连交易。
