格隆汇5月21日丨华人健康(301408.SZ)公布，公司(“受让方”)拟通过支付现金方式购买宁波闽哲汇投资合伙企业(有限合伙)(以下简称“闽哲汇”或“交易对方”或“转让方”)持有的福建省扬祖惠民医药连锁有限公司(以下简称“扬祖惠民”或“目标公司一”)46.01%的股权、购买闽哲汇持有的福建海华医药连锁有限公司(以下简称“海华医药”或“目标公司二”)46.01%的股权及购买闽哲汇持有的桐庐怡生堂大药房连锁有限公司(以下简称“桐庐怡生堂”或“目标公司三”)70.01%的股权(以下合称“本次交易”或“本次收购”)。本次交易，公司计划使用自有资金及变更部分募集资金用途进行支付，若变更募集资金用途的审核未获批准，公司将全部使用自有资金支付。
本次交易目标公司扬祖惠民46.01%股权的交易价格为1.33亿元。本次交易目标公司海华医药46.01%股权的交易价格为1.25亿元。本次交易目标公司桐庐怡生堂70.01%股权的交易价格为6,825.975万元。
