智通财经APP讯，九福来(08611)发布公告，于2025年5月22日，公司(作为买方)与卖方(耿楠及赵宝琴)订立买卖协议，据此(其中包括)，卖方有条件同意出售而买方有条件同意购买目标公司的全部股权，总代价将于完成时透过发行承兑票据支付。
目标公司河南丽轩网络科技有限公司为一间以中国为基地的科技公司，专门从事多种业务营运，包括开发互联网及资讯安全软件、提供技术服务、技术开发、技术咨询、技术交流、技术转移及技术推广。凭借其在技术领域的专业知识，目标公司亦为医疗器材、塑胶实用物品、保健产品及预包装食品等商品提供供应服务。
于2025年1月公司与卖方就讨论有关目标公司的潜在合作及收购安排以扩展集团业务订立意向书。经公司与卖方就意向书进行进一步讨论后，董事会认为收购事项将最大化集团的潜力并为集团带来重大价值。透过收购目标公司，集团将扩大其市场地域覆盖范围，包括中国及其他潜在东南亚国家。由于目标公司在提供资讯科技服务方面拥有丰富经验，收购事项亦增强集团在系统整合及电脑相关服务方面的专业知识。此外，集团可利用目标公司与医疗领域的联系，将业务拓展至提供医疗相关商品，同时继续利用集团在系统整合及资讯科技方面的专业知识。
