韩国三星集团旗下的三星生物制剂公司（Samsung Biologics）周四表示，计划剥离其生物仿制药开发业务，以简化运营，并专注于其核心的合同开发和制造组织（CDMO）服务。
根据提交给监管机构的文件，该公司将成立一家新实体三星Epis控股公司（Samsung Epis Holdings），随后将把生物仿制药开发商Samsung Bioepis Co．作为一家全资子公司并入该控股公司。
三星生物制剂表示，将于7月29日就分拆程序提交一份证券报告，并于9月16日举行股东大会，以获得最终批准。
该公司解释说，通过此次分拆，可以将资源集中在与生物仿制药不同的CDMO事业上。
CDMO指的是一家公司不仅处理原料药的外包生产，而且还处理生产前的所有创新和开发工作。
该公司表示：“此次分拆将加强三星生物和三星Epis控股的运营独立性，提高企业竞争力，实现企业和股东价值的最大化。”
三星生物制剂是全球领先的CDMO公司之一，2024年的销售额为4.54万亿韩元（合33亿美元），净利润为1万亿韩元。
