智通财经APP讯，哔哩哔哩-W(09626)发布公告，有关(i)发售本金总额为6亿美元于2030年到期的可换股优先票据(票据发售);(ii)授予票据发售的初始买方增购本金金额最多9000万美元的票据的期权，并可在自票据首次发行之日(包括当天)起的30天内行使该期权(期权票据);(iii)同时进行对冲发售;(iv)同步购回。
初始买方于2025年5月22日已行使其权利(各自而非共同)按与票据相同的购买价格购买所有期权票据。期权票据的主要条款与票据相同，详情载于该等公告。
各自经扣除初始买方的估计费用、佣金及开支后，公司预计自票据发售筹集所得款项净额5.89亿美元，并预计自期权票据筹集额外所得款项净额8865万美元。公司计划将该等发售的所得款项净额总额6.781亿美元用于增强其内容生态以促进用户增长、加速IP资产创造及释放其内在潜力。公司亦计划将该等发售的所得款项净额用于提高其整体变现效率、拨付拟同步购回、为日后不时根据其股份购回计划进行的购回提供资金以及其他一般企业用途。
