智通财经APP获悉，澳大利亚航运软件公司WiseTech Global Ltd.达成其史上最大规模收购案，同意以21亿美元估值收购美国企业E2open Parent Holdings(ETWO.US)。
这是创始人理查德·怀特自今年二月出任执行董事长后的首个重大举措。此前数月，其私生活及与员工、供应商关系的曝光引发公司股价动荡，并导致澳大利亚最大养老基金抛售所持股份。
根据周一公告，WiseTech将以每股3.3美元收购E2open，较该股上周五纽约收盘价溢价28%。交易资金将全部通过新设立的融资安排解决。
WiseTech表示，此次收购将为其新增约5600家客户，并预计首年即可实现每股收益增厚。截至2月的财年中，E2open拥有约4000名员工，实现营收6.08亿美元。WiseTech称除约4000万美元的一次性交易费用外，维持2025财年盈利指引不变。
"收购E2open是实现我们'成为全球贸易物流操作系统'扩展愿景的战略性一步，"怀特在声明中表示，"这对WiseTech业务和E2open股东、所有客户、行业乃至终端消费者都是共赢局面。"E2open的财务顾问为罗斯柴尔德公司。
为WiseTech提供30亿美元融资的银团包括：美国银行、巴克莱银行、德意志银行、汇丰控股、荷兰国际集团、澳大利亚国民银行、摩根大通、三井住友银行和西太平洋银行。
