智通财经APP讯，开明投资(00768)发布公告，于2025年5月28日(星期三)下午四时正，要约人已接获要约项下涉及合共2.92亿股要约股份(接纳股份)的有效接纳，相当于本公司在本联合公布日期的全部已发行股本约22.93%。紧接要约期开始前，要约人及要约人一致行动人士合共持有5.32亿股股份，相当于本公司全部已发行股本约41.84%。经计及接纳股份以及要约人及要约人一致行动人士已拥有的股份，于本联合公布日期，要约人及要约人一致行动人士合共持有8.24亿股股份，相当于本公司全部已发行股份约64.77%。因此，综合文件所载的要约条件已获达成，而要约已于本联合公布日期(即2025年5月28日)下午四时正在所有方面成为无条件。
除要约人及要约人一致行动人士于要约期开始前已持有的5.32亿股股份(相当于本公司在本联合公布日期的全部已发行股本约41.84%)及接纳股份外，要约人及任何要约人一致行动人士概无于紧接要约期开始前持有、控制或指示任何股份及股份的权利;自要约期开始起至本联合公布日期止收购或同意收购任何股份或股份的权利;或自要约期开始起至本联合公布日期止借入或贷出本公司任何有关证券。
