Odaily星球日报讯 据 Circle 向美国证券交易委员会（SEC）提交的最新 IPO 文件披露，公司已于 2025 年 1 月完成对代币化初创公司 Hashnote 的全资收购，交易总额约为 9980 万美元，其中包含 990 万美元现金及约 290 万股 Circle 普通股（已完全归属）。 文件显示，该交易还包括最多额外发行约 180 万股普通股，用于激励 Hashnote 员工，相关股份将基于服务期归属，并计入薪酬成本。 Circle 此前并未披露该并购金额。此次披露还显示，Circle 拟通过 IPO 募资约 6 亿美元，发行 2400 万股 A 类普通股，发行价区间为每股 24 至 26 美元。 Hashnote 曾获 Cumberland Labs 投资 500 万美元，旗下产品 USYC 在被收购后于美债代币化市场中占有率下降。该市场当前由 BlackRock 的 BUIDL 基金主导，资产规模接近 30 亿美元（The Block）。
