中国建筑国际（03311）发布公告，于2025年5月30日，公司间接全资附属公司中建国际投资与温州海新签订了两项应收账款转让合同，涉及金额分别为2.6亿元和2.3亿元。
根据合同，中建国际投资将以折价率95.1%向温州海新购买应收账款，代价为2.47亿元和2.19亿元，交易期限均为12个月。
此次交易被认定为关联交易，因中建商业保理为公司的间接全资附属公司。合并交易的所有适用百分比率均超过0.1%但低于5%，因此遵循上市规则第十四A章的申报及公告规定，但获豁免遵守股东批准的规定。此次保理安排将为公司提供即用资金，以满足运营及业务发展的需要，优化资产结构并提高资金效率。
