智通财经APP讯，旷逸国际(01683)发布公告，于2025年5月29日(联交所交易时段后)，公司间接全资附属公司江西绿欣与福建中酿订立(i)资产购买协议，据此，江西绿欣(作为买方)已有条件同意购买而福建中酿(作为卖方)已有条件同意出售目标资产，总代价为8730万港元。购买代价须由买方促使公司于购买事项完成时向卖方按发行价每股资产代价股份0.64港元配发及发行1.36亿股资产代价股份支付。该等资产包括(i)自动化机器，包括生产线、铲车、快速膜过滤器、空气压缩机、车间保温罐、喷码机、巴氏消毒机、灌装机、燃油燃气蒸汽锅炉、立式硅藻土过滤器及VGS空气压缩机;及 (ii)配套资产，包括电脑、空调及商业及物流车辆。
于2025年5月29日(联交所交易时段后)，江西绿欣与福建中酿订立租赁协议，据此，江西绿欣(作为承租人)已有条件同意租赁而福建中酿(作为出租人)已有条件同意向承租人出租该等物业，为期20年，租金总额为人民币2000万元。租赁代价将由承租人促使公司于租赁事项完成时向出租人按发行价每股租赁代价股份0.64港元配发及发行3406.25万股租赁代价股份支付。该等物业位于福清市渔溪镇工业园区福厦路67公里外东侧(八一五路637号)的厂房大楼，总楼面面积为9,901平方米。
