智通财经APP讯，中生北控生物科技(08247)发布公告，总裁兼执行董事陈鹏先生已配合完成协助调查，留置措施获得解除，并已恢复其在集团内职责及责任。据陈先生表示，先前留置措施并未对其本人或集团造成任何重大不利影响。
鉴于自2024年11月底以来，公司无法再联系到前董事会主席兼执行董事吴乐斌先生，且其已连续两次未能亲身出席董事会会议，亦无委托其他董事代为出席董事会会议，董事会认为吴先生未能履行其作为董事的职责。直至本公布日期，董事会仍无法与吴先生取得直接联系或接触。因此，董事会建议免去吴先生的董事职务。
陆琪先生因希望投放更多时间于其他事务，故已向公司提呈辞任独立非执行董事。
沈胜博士及范晓亮先生已分别于股东特别大会上获第八届董事会提名为本届董事会非执行董事及独立非执行董事候选人。
