智通财经APP讯，希教国际控股(01765)发布公告，于过去数个月，公司及其顾问一直与可转换债券实益持有人专案小组(合共持有或控制可转换债券尚未偿还本金额超过56%)及其顾问紧密合作，借以就可转换债券制定及协定各方一致同意的重组方案。
经广泛磋商后，各方之间已取得莫大进展，而公司欣然宣布，其已经在原则上就下文所概述该方案的主要条款与专案小组达成协议，惟须待各方之间订立任何确实协议后，方可作实。
该方案拟定悉数且最终结付可转换债券项下的所有尚未偿还金额，以同意征求方式实施：
1) 提早赎回：通过向可转换债券持有人支付相等于尚未清偿可转换债券本金额每1000美元获得610美元的现金金额，赎回所有尚未清偿可转换债券;及
2) 同意费：向投票赞成特别决议案批准必要修订以使提早赎回于发行人或公司所指定的期限或之前生效的各可转换债券合资格持有人支付现金同意费，金额相等于各有关持有人所持有尚未清偿可转换债券本金额每1000美元获得10美元。
为免生疑问，于本公告日期，公司仍然正在与专案小组磋商该方案的确实条款，且各方尚未就此订立任何具法律约束力的协议。另外，该方案及公司与专案小组之间就此的原则上协议乃按并无损害公司、呈请人及专案小组各自有关上诉及呈请的立场为基准作出。
