智通财经APP讯，易纬集团(03893)发布公告，于2025年6月2日(交易时段后)，公司与HIL订立HIL认购协议，据此， HIL有条件同意认购而公司有条件同意配发及发行本金额为5710万港元的 HIL可换股债券，其应透过解除公司有关HIL贷款及先前贷款的部分付款责任予以清偿。
于2025年6月2日(交易时段后)，公司与MKI订立MKI认购协议，据此， MKI有条件同意认购而公司有条件同意配发及发行本金额为3840万港元的 MKI可换股债券，其应透过解除公司有关MKI贷款的部分付款责任予以清偿。
公告称，考虑到股份的现行市价及交易量、集团的净负债状况，以及公司最近于2025年2月完成的配售事项，董事认为公司可能不适合进行其他集资活动，尤其是与贷款项下之未偿还金额规模相当的金额。因此，公司已决定与其债权人(即 HIL及MKI)协商有关贷款项下的未偿还金额的建议和解方案，方案的条件有利于公司，并可改善公司的财务状况。
