Webus International Limited has entered into a Delegated Digital Asset Management Agreement with Samara Alpha Management LLC, effective May 28, 2025. Under this agreement, Samara, a Delaware limited liability company registered with the U.S. Securities and Exchange Commission as an investment adviser, will manage certain digital assets of Webus on a discretionary basis. This arrangement is set to last for an initial term of three years, contingent upon the transfer of digital assets to a designated custody wallet. The contract includes confidentiality clauses and provisions for termination by either party with ninety days' notice or immediately in the case of a material breach or regulatory issues. Disputes arising from the agreement will be resolved through binding arbitration in New York City.
