智通财经APP讯，港华智慧能源(01083)发布公告，于2025年6月3日，为配合设立用于发行第二批次资产支持证券的资产支持专项计划的第二期(第二期资产支持专项计划)，集团订立协议，向第二期资产支持专项计划出售公司于中国从事屋顶光伏发电项目的若干全资附属公司的全部股权及其所欠的贷款，总代价约为人民币4.7亿元(出售事项)。出售事项的完成须待相关协议所载的先决条件获达成后，方可作实。同日，集团亦同意按面值认购第二期资产支持专项计划下发行的部分权益级资产支持证券，本金额为人民币2400万元(相当于根据第二期资产支持专项计划将予发行资产支持证券本金总额约5.1%)。
第二期资产支持专项计划为集团推进太阳能光伏资产证券化的一部分，旨在提升集团流动性。透过认购第二期资产支持专项计划下的权益级资产支持证券，集团将保留于该等资产的权益，以继续享有其所产生的溢利。公司拟将出售事项所得款项净额用作投资于屋顶光伏发电及储能电站项目、偿还银行借款、以及作为集团的一般营运资金。
