So-Young International Inc. has announced a new shareholder agreement involving its subsidiary, Zhuhai So-Young Technology Co., Ltd. Under this agreement, Zhuhai So-Young Medical Management Co., Ltd (WFOE) has been granted an irrevocable Power of Attorney by a shareholder to act on their behalf concerning their equity interests. The WFOE is authorized to convene and attend shareholders' meetings, exercise voting rights, handle the sale or transfer of shares, and appoint or remove senior management members of Zhuhai So-Young. This agreement aims to streamline decision-making and management within the company. The Power of Attorney, effective May 31, 2025, outlines that any conflicts between the Chinese and English versions of the document will be resolved in favor of the Chinese version.
