智通财经APP讯，中加国信(00899)发布公告，董事会建议进行股本重组，当中涉及股份合并及股本削减。
董事会建议将公司股本中每10股已发行现有股份合并为1股合并股份。
紧随股份合并生效后，股本削减将涉及每股已发行合并股份的面值由1.00港元减少至0.01港元，方式为(a)剔除从股份合并中产生公司已发行股本中的任何零碎合并股份，以便将合并股份总数目向下凑整至最接近整数;及(b)注销公司每股已发行合并股份的缴足股本0.99港元，使每股已发行新股份将被视为于紧随股本削减后公司股本中1股每股面值0.01港元的缴足股份，而因股本削减而产生的进账款额将转移至公司法所界定的公司实缴盈余账。
紧随股份合并及股本削减生效后，公司的法定股本将为2500万港元，分为25亿股新股份。
