智通财经APP讯，天业节水(00840)发布公告，本公司已获其控股股东新疆天业(集团)有限公司(天业集团)通知，为利用天业集团于水利管理方面的优势及资源，并促进天业集团发展成为可持续发展的一流企业，新疆生产建设兵团第八师国有资产监督管理委员会(第八师国资委)与天业集团建议成立新疆天泽水利投资发展有限公司(新控股公司，一间新成立的控股公司)(建议重组)，详情如下：
(a) 第八师国资委将以零代价将新控股公司股本总额的37.5%(已认购但未缴付的股本)(目标股本)转让予天业集团，随后，(ii)目标股本将由天业集团通过注资其在本公司的全部股权(即本公司全部已发行股份的约60.42%)全数缴足;及
(b) 第八师国资委将委托天业集团行使其于新控股公司所持有的(i)若干投票权;及(ii)若干董事提名权(建议委托安排)，以使天业集团能够行使于新控股公司合共51%的投票权并控制新控股公司的董事会。
建议重组尚处于初步阶段，概不保证建议重组将会付诸实行或最终将会完成。因此，建议重组未必会进行。
