Conifer Holdings Inc. held its virtual annual meeting of shareholders on June 3, 2025. Shareholders elected Joseph D. Sarafa as a Class I director to the Board of Directors. An amendment to change the company's name from Conifer Holdings, Inc. to Presurance Holdings, Inc. was approved. An amendment to effect a reverse stock split of the company's outstanding common stock and Series B Preferred Stock was approved. The issuance of up to 4,000,000 shares of common stock upon the exercise of existing warrants was approved. The appointment of Plante & Moran, PLLC as the independent registered public accounting firm for the fiscal year ending December 31, 2025, was ratified. An authorization for one or more adjournments of the Annual Meeting to solicit additional proxies was also approved.
