智通财经APP讯，龙蟠科技(02465)发布公告，于2025年6月4日，本公司与配售代理订立配售协议，本公司已同意委任配售代理及配售代理已有条件同意尽最大努力促使不少于六名承配人(连同彼等各自的最终实益拥有人将为独立第三方)购买最多合共2000万股配售股份，配售价为每股配售股份6.00港元。
假设配售股份悉数获配售，配售股份占于本公告日期现有已发行H股数目约20%及现有已发行股份数目约3.01%，以及经配发及发行配售股份扩大后现有已发行H股数目约16.67%及现有已发行股份数目约2.92%(假设除配发及发行配售股份外，本公司已发行股本自本公告日期起至配售事项完成止并无变动)。配售价为每股配售股份6.00港元，较于2025年6月4日(即配售协议日期)在联交所所报收市价每股H股6.59港元折让约8.95%。
假设配售股份悉数获配售，配售事项的估计所得款项净额预期约为1.17亿港元，故经扣除该等费用、成本及开支后，估计净配售价约为每股配售股份5.84港元。
配售事项所得款项净额拟用作一般营运资金及偿还本集团的未偿还债务;以及低电导率冷却液的产线改造。
