智通财经APP讯，数科集团(02350)及要约人QH Technology Holdings Limited联合公布，要约人已于2025年5月2日完成收购公司已发行股本总额的约57.3%，代价为9174.528万港元(相当于每股出售股份0.256港元)。
紧随完成后及于本联合公告日期，要约人及其一致行动人士拥有合共3.5838亿股股份，占公司已发行股本总额的约57.3%。
根据收购守则规则26.1，于完成后，要约人须就所有已发行股份(要约人及其一致行动人士(包括卖方)已拥有或同意将予收购者除外)作出无条件强制性现金要约。 圣衡金融将代表要约人按以下基准作出要约：每股要约股份现金0.256港元，较于最后交易日在联交所所报收市价每股股份0.360港元折让约28.9%。
此外，公司已向联交所申请自2025年6月13日上午九时正起恢复股份买卖。
据悉，闫威先生为要约人的唯一股东及唯一董事。
