智通财经APP讯，中国金茂(00817)公布，嘉兴珵茂、扬州禧达及青岛源璞在北京喜茂公开挂牌引入股权增资活动中成功摘牌，于2025年6月10日，该公司间接全资附属公司北京亦城与嘉兴珵茂、扬州禧达、青岛源璞及北京喜茂签订增资协议，据此嘉兴珵茂、扬州禧达及青岛源璞同意向北京喜茂分别支付增资对价约人民币8.168亿元、3.14亿元及4亿元;北京亦城同意同步向北京喜茂投入增资价款约人民币10.11亿元。于北京喜茂增资完成后，北京亦城、嘉兴珵茂、扬州禧达及青岛源璞将分别持有北京喜茂40%、32%、12.31%及 15.69%股权，并透过北京喜茂共同合作开发标的地块。增资完成后，北京喜茂为公司的间接非全资附属公司。
据悉，于2024年10月23日，北京亦城透过公开竞买程序以40.13亿元的代价投得标的地块的国有土地使用权，并以其全资附属公司北京喜茂作为项目公司以开发标的地块。标的地块位于北京市丰台区，为居住用地，占地面积约33,300平方米，地上建筑容积率约2.17，计容建筑面积约72,100平方米。
紧随北京喜茂增资完成后，公司于北京喜茂的权益将由100%下降至40%。因此，根据上市规则第14章，增资将构成视作出售公司于北京喜茂的权益。
公告称，通过引入合作方增资，集团可充分利用市场资源，分散资金风险，符合集团战略和房地产开发业务的发展方向。
