智通财经APP获悉，国际评级机构穆迪近日下调了华纳兄弟探索(WBD.US)旗下子公司的债务评级，这为这家传媒巨头在宣布分拆计划后与债券持有人的谈判增添了新的复杂性。
穆迪将Discovery Communications和WarnerMedia Holdings的有担保优先无抵押票据评级从Baa3下调至Ba1，这意味着这些债券不再具备投资级评级。同时，穆迪还将这些评级列入可能进一步下调的观察名单。
此次评级下调源于华纳兄弟探索宣布将分拆为两家独立企业，将其快速增长的流媒体业务与陷入困境的传统媒体业务分离。此前，标普全球评级本周早些时候已采取类似行动，将华纳兄弟探索的债券进一步下调至更深的垃圾级区间。
穆迪在6月10日的声明中表示，评级下调反映了华纳兄弟探索“持续面临的运营挑战，以及其财务政策的改变——在分拆前后的资本结构中加入了有担保债务”。
作为分拆计划的一部分，该公司拟通过175亿美元的担保过渡融资，对超过140亿美元的无抵押票据进行再融资。这一安排实质上将新的债权人置于无抵押票据持有人之前。
此项回购计划迫使投资者面临艰难抉择，因为同意回售票据的投资者必须放弃其持有的其他债券的部分保障条款。
