智通财经APP讯，中国生态旅游(01371)发布公告，本公司拟建议新选择权1债券的持有人(债券持有人)根据信托契约通过电子同意的方式(电子同意)，经由Euroclear BankSA/NV和Clearstream Banking S.A.(结算系统)向债券持有人批准特别决议(特别决议)。根据信托契约，持有未偿还的新选择权1债券的本金金额不少于90%的持有人，有权通过电子同意通过特别决议。
本公司拟建议将目前已发行的所有新选择权1债券的总本金及其累计利息，交换为新的非上市债券(新债券)，并请求债券持有人考虑并在认为合适的情况下批准并通过特别决议，以按1港元对1港元的基准批准并接受新债券的交换(交换建议)。
截至本公告日期，未偿还新选择权1债券的本金金额为1.54亿港元。
