智通财经APP讯，百奥赛图-B(02315)发布公告，诚如股东大会投票结果公告中披露，股东已于年度股东大会中以特别决议案的形式批准本公司于有关期限内根据购回授权购回最多1107.82万股H股(不包括库存股份)，相当于在年度股东大会当日本公司已发行H股总数的10%及本公司全部已发行股本约2.77%(不包括库存股份)。未来24个月内，本公司拟以不超过5000万港元的内部自有资金购买及/或购回H股。本公司可根据购买及/或购回时的市场状况及本集团的资本管理需求，注销有关购回股份或将其作为库存股份(涉及购回H股)持有以及用购买H股履行股份奖励(涉及本公司已于2022年11月22日采纳的雇员股份奖励计划(股份奖励计划)。
为股份回购的目的，本公司拟委任Kastle Limited(嘉士图有限公司)作为受托人成立一被动信托(该信托)用于代持本公司回购的H股股份作为库存股管理。同时，本公司已指示招商永隆信托有限公司等管理股份奖励计划及购买H股以履行股份奖励。
