Bakkt Holdings Inc. has announced a change in its independent registered public accounting firm. As of June 9, 2025, the company's Audit Committee has dismissed KPMG LLP and appointed Grant Thornton LLP as the new independent auditor for the fiscal year ending December 31, 2025. The transition follows a period without disagreements on accounting principles or practices with KPMG, whose audit report for 2024 did not contain any adverse opinions. However, a material weakness in the company's internal control over financial reporting, disclosed in a previous quarterly report, was noted. The company has not previously consulted with Grant Thornton on any accounting matters.
