狮腾控股(02562)发布公告，内容有关(其中包括)特殊目的收购公司并购交易完成。就特殊目的收购公司并购交易而言，(1)于发起人提成及禁售协议所载的若干条件达成后，发起人已获授发起人提成权以配发及发行发起人提成股份。
公司获发起人告知，2025年6月13日曾发生发起人提成权触发事件(即于交割后六个月起至交割日期第五周年止的任何30个交易日期间内的任何20个交易日的股份成交量加权平均价格等于或超过每股股份15.00港元)，继而触发发起人提成权，发起人因而不可撤回地选择按无现金基准行使发起人提成权，以根据发起人提成及禁售协议的条款认购发起人提成股份(即合共1000.5万股股份)。
公司将于可行情况下尽快向发起人(或由发起人指定的一名或多名人士)配发及发行发起人提成股份，且于任何情况下不得迟于行使日期后五个营业日。发起人提成股份于2025年10月30日(即自交割日期起满12个月之日)前将受禁售及出售限制规限。
