智通财经APP获悉，据外媒报道，华纳兄弟探索(WBD.US)在完成与业务分拆相关的债务交易后，预计将限制债权人组建特定合作团体。报道指出，此次分拆将禁止债券持有人签署“合作协议”(co-ops)，即禁止他们约定“除非全体成员同意，否则不提供新融资”的条款。
知情人士透露，尽管部分债券持有人表示反对，但这项限制条款仍有望在周五债权人同意的截止日后生效。
报道称，华纳已要求债权人批准一项“非联合抵制条款”，禁止他们相互约定不向分拆后的新公司提供贷款或用现金购买新证券。消息人士表示，这项反抵制条款可能成为企业债券发行中首批引入的同类条款之一。
消息人士透露，尽管该条款禁止债权人约定不提供新融资或参与特定贷款工具(LMEs)，但仍可能允许他们围绕贷款条款修订等其他议题组建合作团体。
