智通财经APP讯，庄士机构国际(00367)发布公告，于2025年6月19日(交易时段后)，卖方庄士机构有限公司(即公司直接全资附属公司)、买方Annex W Group Limited、公司(作为卖方担保人)及买方担保人订立买卖协议，据此，买方有条件地同意收购而卖方有条件地同意出售销售股份(香岛37投资有限公司全部已发行股本)及销售贷款。
销售股份及销售贷款的代价估计不多于约5.385亿港元(可予调整及经调整后)。代价乃由卖方与买方经考虑：(i)协定物业价值5.38亿港元;及(ii)目标公司的完成资产净值后公平磋商达致。
