智通财经APP讯，雷士国际(02222)发布公告，该公司已获执行董事王顿先生告知，于2025年6月20日，就家族财富规划目的，Oneworld Legend Limited(“Oneworld”)将Leap Gain Limited (“Leap Gain”)的全部已发行股本转让予Veritas Holdings Limited(“Veritas”)。
于本公告日期，Leap Gain(透过其全资附属公司天蓬资本有限公司)间接拥有公司8454.56万股股份的权益，占公司已发行股本总额约16.67%。紧随转让后，根据董事可得资料，(1)王顿不再间接控制Leap Gain，而Leap Gain由Aegean Anstalt(于列支敦士登成立的实体)(“ Aegean Anstalt”)间接持有;及Aegean Anstalt间接拥有合共1.51亿股股份的权益，占公司已发行股本总额约29.85%。
根据董事可得资料，概无其他人士根据证券及期货条例第XV部被视为对Aegean Anstalt拥有控制权或处于可行使控制权的地位(即并无其他人士于Aegean Anstalt股东大会上控制叁分之一或以上投票权，且不存在Aegean Anstalt或其董事惯常遵照其指示行事的其他人士);及Aegean Anstalt于 2023年7月仅为王氏家族之财富规划目的而成立，潜在受益人包括王顿先生、王冬雷先生(董事长、执行董事及王顿先生的父亲)及王氏家族的若干其他成员。
董事会认为，仅为家族财富安排目的进行的转让将不会对公司的控制权及管理产生任何重大影响。
