新特能源(01799)子公司获农银金融10亿元增资

智通财经APP讯，新特能源(01799)发布公告，于2025年6月18日，公司、农银金融及公司的非全资附属公司新疆新能源订立了增资协议，据此，农银金融同意以货币资金向新疆新能源增资人民币10亿元，其中人民币47173.13万元作为新疆新能源注册资本，人民币52826.87万元作为新疆新能源资本公积。增资事项完成后，公司、中节能太阳能及农银金融将分别持有新疆新能源91.26%、0.46%及8.28%的股份，且新疆新能源将仍为公司的非全资附属公司。

于2025年6月18日，公司、农银金融及新疆新能源亦订立了股东协议，据此，约定(其中包括)农银金融的退出安排如下：(i)在各方一致同意的前提下，公司可透过向农银金融发行公司股份以收购增资股份;及(ii)于股东协议规定的特定情形下新疆新能源及公司有权(但无义务)进行新疆新能源定向减资或选择行使收购增资股份选择权以向农银金融收购增资股份。

公告称，为拓宽融资渠道，降低新疆新能源资产负债率，补充生产经营所需资本金，降低财务费用和融资成本，本次引入农银金融对新疆新能源进行增资，有利于提升集团竞争力和可持续发展能力，进一步支持集团新能源业务做大、做强、做优。
