智通财经APP讯，阳光保险(06963)发布公告，经股东于年度股东会上批准，董斌获委任为第六届董事会独立非执行董事及王霄鹏先生获委任为第六届董事会执行董事。董先生及王先生各自的任期自公司章程规定的程序履行完毕且中国保险监管机构核准其各自的董事任职资格之日起计算，至第六届董事会任期届满时止，任期届满可以连选连任。
由于刘湛清先生已连任公司独立非执行董事满六年，根据中国相关监管规定，刘先生已向董事会提出辞任公司独立非执行董事、董事会提名薪酬委员会主任委员及董事会关联交易控制委员会委员职务。鉴于刘先生的辞任将导致公司独立非执行董事的人数低于相关监管规定及公司章程的要求，刘先生将继续履行公司独立非执行董事及董事会专业委员会主任委员及委员相关职责，直至董先生的任职资格获得中国保险监管机构核准。
