智通财经APP讯，森浩集团(08285)发布公告，于2025年6月17日(交易时段后)，卖方(即森渲上海，为公司的间接全资附属公司)与买方广州彩格国际贸易有限公司(即合营伙伴)订立股权转让协议，据此，卖方已同意出售及买方已同意购买待售股份(合营企业森彩贸易(上海)有限公司的51%股权)及销售贷款，代价分别为人民币3000元及约人民币319.8万元。
公告称，合营企业除2023年外一直产生亏损，2019年至2024年的累计亏损超逾人民币450万元。因此，公司积极物色买家，以寻求机会出售表现欠佳的合营企业，以及避免集团日后可能蒙受亏损或集团须向合营企业注资作营运资金之用。
此亦符合集团精简及优化集团的业务结构及资源的策略发展计划，因为集团已改变业务策略，由透过公司的附属公司分销行李箱及配件改变为将“ELLE”品牌转授权予销售伙伴全权控制，而合营企业主要从事行李箱及配件的批发及零售。
