智通财经APP讯，北京建设(00925)及要约人皓明控股有限公司联合公布，于2025年6月17日，要约人要求董事会向计划股东提呈该建议，内容有关建议根据公司法第99条以计划安排方式将本公司私有化。控股股东于记录日期持有的股份(包括(如适用)要约人根据购股协议收购的任何销售股份)将不会组成计划股份的一部分，亦不会被注销。
该建议将以计划方式实施。根据计划，计划股份将予以注销，以换取以现金支付的注销价每股计划股份港币0.140元。注销价较股份于最后交易日在联交所所报的收市价每股股份港币0.040元溢价约 250.00%。
由于市场环境充满挑战，本公司业绩承压，该建议将有助于本公司实施其长期战略。本公司已失去上市平台优势，股本融资能力有限。该建议将有助于精简本公司的治理、企业及股权架构，提高管理效率及节约成本。
鉴于交易流动性低，该建议为计划股东提供退出机会。该建议为计划股东提供机会以溢价变现其于本公司的投资。
据悉，北控集团为要约人的最终控股股东。其为一间于中国成立的国有企业，由北京市人民政府国有资产监督管理委员会全资拥有。
本公司已向联交所申请于2025年6月18日上午九时正起在联交所恢复股份买卖。
