This new framework involves the provision of design and survey services by the Water Conservancy Design Institute Group to the GDI Water Supply Group. The transactions under this agreement are subject to reporting, annual review, and announcement requirements as per the Listing Rules but do not require independent shareholders' approval. The involved parties include Guangdong Water, a wholly-owned subsidiary of GDH, and the ultimate controlling shareholder, Guangdong Holdings. Notably, directors Ms. BAI Tao and Mr. CAI Yong, who hold significant positions within Guangdong Holdings, were absent from the relevant Board meeting due to urgent commitments.
