金吾财讯 | 环球新材国际(06616)公布，公司将于2025年7月21日召开股东特别大会，寻求批准拟收购德国默克全球表面解决方案业务交易事项等。
公开资料显示，环球新材国际于2024年7月25日与德国默克签订拟收购全球表面解决方案业务协议，此次通函进一步披露了相关交易事项的最新进展，也预示着项目即将落地。
此次收购的交易代价为6.65亿欧元，是基于目标公司2023年经调整EBIT的11.08倍定价。董事会认为交易事项符合公司及其股东的整体利益。若交易达成，未来将进一步扩大集团主营业务的覆盖地域及销售管道；进一步丰富集团产品体系并提升主营业务的竞争力；强化集团供应链，实现协同效应，使客户受益；进一步提升集团科技研发水平并助力提升环境、社会及管治水平。
公告显示，集团董事长苏尔田先生及其控制的公司，连同若干其他股东，合计持有公司50.6%的权益。并已作出不可撤销的承诺，将在股东特别大会上投票赞成批准该交易。
