智通财经APP获悉，中国有色矿业(01258)涨近3%，截至发稿，涨2.54%，报7.27港元，成交额5536.47万港元。

消息面上，中国有色矿业发布公告，于2024年11月20日、2025年1月24日及2025年4月25日，公司、SM Minerals及 AM股东订立初步协议，内容有关转让5265股SM Minerals股份(占SM Minerals 已发行股本的5%)，代价为500万美元。

于2025年6月16日，SM Minerals及AM股东订立认购协议，据此，SM Minerals同意发行及配发而公司同意按认购价款认购认购股份。

公司采用股份认购的方式，支付认购价款，收购SM Minerals 10.5%的已发行股本，该认购价款将主要用于本卡拉矿业项目的技术勘探和开发工作。这项策略不仅有助于降低投资风险，还能有效运用SM Minerals的资源和专业知识。

根据认购协议，公司、SM Minerals及AM股东同意，彼等将尽最大努力善意合作，务求磋商及落实订立最终协议，包括但不限于在最后日期前就公司向原股东进一步收购合共65%当时已发行SM Minerals股份订立期权协议。

SM Minerals 在哈萨克阿斯塔纳国际金融中心(AIFC)注册成立，通过下属企业拥有本卡拉北采矿权和本卡拉南探矿权等资产。本卡拉北采矿权拥有的铜矿存量约150万吨铜金属，非常有足够资源进行大规模采矿业务。
