智通财经APP讯，润歌互动(02422)发布公告，本公司获悉，于2025年6月26日，本公司控股股东纬晨投资有限公司以杭州兴晟股权投资有限公司为质权方质押本公司36,564,224股股份(占纬晨投资直接持有本公司股份数的约8.4%)，于本公告日期，纬晨投资质押的股份，共占本公司已发行股份总数约2.44%。
本公司控股股东天欢投资有限公司以杭州兴晟股权投资有限公司为质权方质押本公司15,306,541股股份(占天欢投资直接持有本公司股份数的约8.4%)，于本公告日期，天欢投资质押的股份，共占本公司已发行股份总数约1.02%。
本公司控股股东云杉投资有限公司以杭州兴晟股权投资有限公司为质权方质押本公司7,388,495股股份(占云杉投资直接持有本公司股份数的约8.4%)，于本公告日期，云杉投资质押的股份，共占本公司已发行股份总数约0.49%。
本次叁位控股股东(统称“出质方”)所质押股份为本公司全资子公司杭州润歌网络有限公司担保，担保金额为人民币18,500,000元。在质押期间，出质方所质押的股份并不涉及所有权、投票权、分红权的转移，但行使有关权利时不得损害质权人的利益。同时，出质方需要妥善保管质押股份，未经质权方书面同意，不得擅自对质押股份进行转让、赠与、新设权利负担或进行任何可能损害质权方权益的行为。
