智通财经APP讯，新特能源(01799)发布公告，于2025年6月26日，公司非全资附属新疆新能源、工银金融及公司非全资附属风盛发电订立了增资协议，据此，工银金融同意以货币资金向风盛发电增资人民币5亿元，其中人民币46965.20万元作为风盛发电注册资本，人民币3034.80万元作为风盛发电资本公积。增资事项完成后，新疆新能源及工银金融将分别持有风盛发电60.95%及39.05%的股权，且风盛发电将仍为公司的非全资附属公司。
于2025年6月26日，新疆新能源、工银金融及风盛发电亦订立了股东协议，据此，约定(其中包括)工银金融的退出安排如下：(i)经各方一致同意，工银金融可透过资本市场方式退出;及(ii)于股东协议规定的特定情形下新疆新能源有权(但无义务)选择行使收购增资股权选择权以向工银金融收购增资股权。
增资事项完成后，公司通过新疆新能源于风盛发电所持的权益将由91.26%减少至55.62%。
公告称，为拓宽融资渠道，增加风盛发电资本金及降低资产负债率，本次引入工银金融对风盛发电进行增资，有利于提升集团竞争力和可持续发展能力，进一步支持集团新能源业务做大、做强、做优。
