智通财经APP讯，太古地产(01972)及太古公司联合公布，各方于本公告日期就出售权益(即零售权益、停车场资产及设施权益)的买卖订立交易文件。
交易文件项下的各卖方均为太古地产的全资附属公司。由于太古地产为太古公司的附属公司，各卖方亦为太古公司的附属公司。交易文件项下各买方的最终实益拥有人均为Simon Property。
出售权益在交易文件项下的代价最高为5.49亿美元，其中包括金额最高为3610万美元的或有代价。
Brickell City Centre为位于美国佛罗里达州迈阿密市Brickell金融区的城市综合发展项目，由目标物业(即零售部分、共用设施部分及停车场部分)、两座办公楼(太古地产集团已于2020年售出)、一间设有服务式住宅的酒店(太古地产集团已于2021年售出，售出后仍由太古地产集团管理)及两座住宅大厦(太古地产集团已售出所有住宅单位)组成。
公告称，出售事项让太古地产从其于出售权益的投资中套现现金。从出售事项所得的款项将用于太古地产美国的融资义务以及太古地产集团的一般营运资金。
