太古地产附属公司5.49亿美元出售Brickell City Centre权益

  6月27日,太古地产(01972)发布公告,宣布其全资附属公司与Simon Property达成交易,出售Brickell City Centre的权益,包括零售权益、停车场资产及设施权益。此次交易的总价最高为5.49亿美元(约合42.8亿港元),其中包含最高3610万美元(约合2.82亿港元)的或有代价。交易交割将在文件签署后立即生效。

  此次出售的权益中,零售权益为BCC零售控股的75%成分,停车场资产涉及停车场部分的所有权和运营相关的资产,设施权益则为BCC设施的100%成员权益。

  根据独立估值,目标物业的总价值为7.26亿美元(约合56.66亿港元)。此次交易预计将使太古地产录得除税前收益约1.12亿美元(约合8.71亿港元),或根据法定基准计算的除税前亏损约1580万美元(约合1.23亿港元)。交易所得将用于太古地产美国的融资义务及一般运营资金。
