智通财经APP讯，万国数据-SW(09698)发布公告，兹提述其于2025年6月26日有关监管批准及启动C-REIT发售的先前公告，该公司今日宣布，其南方万国数据中心封闭式基础设施证券投资基金(C-REIT)于上海证券交易所的首次公开发售(IPO)的最终发售价已厘定为每份额人民币3.00元。最终发售价乃于机构询价(已获超额认购166倍)完成后厘定。C-REIT将发行合共8亿份额，相当于IPO完成后已发行份额的100%。C-REIT将收取的所得款项总额为人民币24亿元。
按最终发售价计算，隐含EV/EBITDA(基于发售备忘录内所载的C-REIT 2026年的预测EBITDA人民币1.42亿元)为16.9倍。按最终发售价计算，每份额隐含股息收益率(基于发售备忘录内所载的2026年预测可供分派现金流量人民币1.25亿元)为5.2%。
万国数据将订立协议，向C-REIT出售一家持有总企业价值约人民币23.19亿元的稳定数据中心资产的项目公司的100%股权。出售完成后，万国数据将收取净现金所得款项总额约人民币21.11亿元，包括股权对价及现有现金的股息(扣除税项及若干其他交易成本)。此外，万国数据将终止合并约人民币6200万元的净债务及其他负债。万国数据将再投资人民币4.8亿元以认购IPO中C-REIT所发行份额的20%。
万国数据将根据与转让予C-REIT的项目公司订立的服务协议继续运营及管理相关数据中心资产，据此，万国数据将收取经常性年度费用收入约人民币500万元。
