智通财经APP获悉，中国外运(00598)涨超3%，截至发稿，涨3.02%，报4.1港元，成交额1668.71万港元。
消息面上，近日，中国外运发布公告，于2025年6月26日，招商船企(公司间接全资附属公司)、 CITIC Capital Maneuver、FV Pallet、买方(“MIC Industrial Investments 4 RSC LTD”)及路凯国际订立股份购买协议，据此，买方有条件同意分别收购及招商船企、CITIC Capital Maneuver及FV Pallet分别有条件同意出售其持有路凯国际25%、3%及2%的股权。其中招商船企出售的25%股权对价为47216.25万美元。
公告称，通过出售事项，可以优化公司的资产结构，盘活释放股权资产的潜在价值，又可将回收的资金用于公司核心主业发展，有力推动公司聚焦于主责主业的转型升级，符合公司及其股东的长远利益。此外，出售事项将丰富路凯国际股东背景，有利于路凯国际业务经营的稳定。
中金指出，在考虑预期投资收益、扣除出售路凯国际股权后的收益减少以及税务影响调整后，估计该交易可使中国外运的净利润增加13.5亿元人民币，相当于2025年盈利增长38%。
