智通财经APP讯，瑞丽医美(02135)发布公告，于2025年7月4日，投资者与杭州瑞丽及目标公司海南贝丽菲尔门诊部(本公司的间接全资附属公司，于投资协议日期由杭州瑞丽持有100%股权)订立投资协议，据此：(i) 第一投资者同意认购目标公司股权的人民币71.5万元，而第二投资者同意认购目标公司股权的人民币429万元。注资完成后，第一投资者及第二投资者持有的目标公司股权将分别为7.14%及42.88%，而杭州瑞丽持有的目标公司股权将由100.00% 变更为49.98%;及(ii) 杭州瑞丽同意减持目标公司注册资本人民币285.5万元，以减少过往年度累计亏损。减资完成后，杭州瑞丽持有的目标公司股权将由49.98% 进一步变更为30.00%，而第一投资者及第二投资者持有的目标公司股权将分别变更为10.00%及60.00%。
经考虑目标公司的目前财务状况及未来资金需求，董事认为，投资协议为目标公司引入外部资本提供了良机，而视作出售将改善目标公司的财务状况及增加其资本。视作出售亦将产生出售收益人民币52.8万元(未经审核)，为本集团带来正面财务影响。
